1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the Pathley website at pathley.ai and app.pathley.ai, our AI chat, free tools, and our paid recruiting plan products (collectively, the "Services"), operated by Pathley ("Pathley," "we," "us," or "our"). By accessing or using the Services, or by purchasing a recruiting plan, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Who May Use Pathley

You must be at least 18 years old to create an account or make a purchase. If you are between 13 and 17, you may use the Services only with the involvement and consent of a parent or legal guardian, and any purchase must be made by that parent or guardian. The Services are not directed at children under 13, and we do not knowingly collect information from them.

3. What Pathley Provides

Pathley is an AI-powered college athletic recruiting platform. Our Services include free college and team directory pages, free recruiting tools, an AI chat assistant, and paid personalized recruiting plans. Paid plans are one-time digital purchases delivered electronically, typically within 24 hours of receiving your completed intake information.

Recruiting plans are generated using artificial intelligence and reviewed by our team before delivery. They draw on publicly available information about colleges, athletic programs, and rosters, combined with the information you provide about yourself.

4. What Pathley Is Not

Pathley provides informational guidance, not guaranteed outcomes. We do not guarantee admission to any college, a roster spot on any team, contact or a response from any coach, an athletic scholarship, financial aid, or any particular recruiting result.

  • Pathley is not an agent, recruiting agency, athletic scout, or representative of any college, university, athletic conference, or governing body (including the NCAA, NAIA, or NJCAA).
  • Pathley is not affiliated with or endorsed by any college or university referenced in the Services. School names, statistics, and program information are provided for informational purposes.
  • Pathley does not provide legal, financial, tax, or eligibility advice. You are responsible for verifying eligibility rules, admissions requirements, deadlines, and scholarship terms directly with the relevant schools and governing bodies.
  • Information in the Services, including AI-generated content, may contain errors or become outdated. You should independently verify any information before relying on it for important decisions.

5. Purchases, Pricing, and Delivery

Paid recruiting plans are offered as one-time purchases at the prices displayed at checkout. Prices are in U.S. dollars and may change at any time, but changes will not affect purchases already completed. Payments are processed securely by our payment processor, Stripe; we do not store your full payment card details.

Plans are delivered electronically to the email address you provide. Standard delivery is within 24 hours of receiving your completed intake information. Delivery times are estimates, not guarantees, and delays caused by incomplete intake information are your responsibility. It is your responsibility to provide a valid email address and to check spam or junk folders.

6. No Refunds

All sales are final. Because each recruiting plan is a personalized digital product created specifically for you, we do not offer refunds, in whole or in part, once a purchase is made. If your delivered plan contains a material error caused by us, contact us at support@pathley.ai within 7 days of delivery and we will correct and redeliver the affected sections.

7. Your Responsibilities

You agree to provide accurate, current, and complete information when using the Services, including intake information for paid plans. The quality of your recruiting plan depends on the accuracy of the information you provide. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any athletic association's rules;
  • Scrape, crawl, harvest, or systematically extract data from the Services, whether manually or through automated means;
  • Resell, redistribute, or commercially exploit any content from the Services, including recruiting plans, without our written permission;
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Services or their underlying systems;
  • Misrepresent your identity, athletic history, or academic record;
  • Use the Services to send spam or unsolicited communications.

8. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

9. Intellectual Property

The Services, including all software, design, text, graphics, logos, and compiled data, are owned by Pathley or its licensors and are protected by intellectual property laws. When you purchase a recruiting plan, we grant you a personal, non-exclusive, non-transferable license to use the plan for your own (or your child's) recruiting process. You may share your plan with family members, coaches, and advisors assisting your recruiting; you may not publish, resell, or redistribute it.

You retain ownership of the information you submit to us. You grant us a license to use that information to provide the Services, including generating your plan and improving our products, consistent with our Privacy Policy.

10. AI-Generated Content

Portions of the Services, including chat responses and recruiting plan content, are generated by artificial intelligence. AI-generated content is reviewed for paid plans but may still contain inaccuracies, and AI chat responses are provided as-is without human review. AI outputs are informational suggestions, not professional advice, and should not be your sole basis for decisions about admissions, eligibility, or finances.

11. Third-Party Services and Links

The Services may reference or link to third-party websites, colleges, camps, and services. We do not control and are not responsible for their content, policies, or practices. References to camps, programs, or schools are not endorsements.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY INFORMATION IS COMPLETE, CURRENT, OR ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHLEY AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF OPPORTUNITY, SCHOLARSHIP, ADMISSION, OR ROSTER PLACEMENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVE MADE NO PURCHASE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Pathley from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or information you submit that is inaccurate or infringes the rights of others.

15. Changes to the Services and These Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time; the "Last updated" date above reflects the current version. Material changes will be posted on this page, and continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Termination

We may suspend or terminate your access to the Services at any time for conduct that violates these Terms or harms the Services or other users. Sections that by their nature should survive termination (including Sections 6, 9, 12, 13, and 14) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before filing any claim, you agree to first contact us at support@pathley.ai and attempt to resolve the dispute informally for at least 30 days.
